1. Introduction
Welcome to BotBot, operated by Orble Ltd, a company registered in England and Wales (Company Number: 15619520). These Terms of Service ("Terms") govern your use of our project tracking software service accessible at backontrack.bot ("Service") and any related services, features, content, or applications offered by us (collectively, the "Services").
By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Service.
2. Service Description
BotBot is a Software-as-a-Service (SaaS) platform that helps teams track project status through integrations with tools like Slack, Jira, Notion, and Google Docs. Our Service provides automated status tracking, smart insights, and project management capabilities to keep your projects back on track.
3. Subscription and Billing
3.1 Subscription Plans
BotBot operates on a per-project subscription model. Our current pricing is $14.99 per active project per month. We offer a 30-day free trial for new workspaces.
3.2 Billing and Payment
Subscription fees are billed monthly in advance on the same date each month as your subscription commenced. Payment is processed through Stripe, our third-party payment processor. You must provide accurate and complete billing information.
3.3 Free Trial
New users are entitled to a 30-day free trial per workspace. No credit card is required for the trial. At the end of your trial period, you will be charged for active projects unless you cancel your subscription.
3.4 Price Changes
We reserve the right to modify our pricing at any time. If we change our pricing, we will provide at least 30 days' advance notice via email. Price changes will not affect your current billing cycle but will apply to subsequent billing cycles.
3.5 Cancellation and Refunds
You may cancel your subscription at any time through your account settings or by contacting us at support@backontrack.bot. Cancellations are effective at the end of your current billing period. We do not provide refunds for partial months of service, except as required by law.
4. User Accounts and Workspaces
4.1 Account Creation
To use our Service, you must create an account using a valid email address from your organization's domain. You are responsible for maintaining the confidentiality of your account information and for all activities that occur under your account.
4.2 Workspace Requirements
Users must be associated with a workspace and use their organization's domain email address. Each workspace operates independently, and users can only access projects within their designated workspace.
4.3 User Responsibilities
You are responsible for:
- Maintaining accurate account information
- Keeping your login credentials secure
- Notifying us immediately of any unauthorized use of your account
- Ensuring compliance with these Terms by all users in your workspace
5. Acceptable Use Policy
5.1 Permitted Use
You may use our Service only for lawful purposes and in accordance with these Terms. The Service is intended for business and professional project management purposes.
5.2 Prohibited Activities
You agree not to:
- Use the Service for any unlawful purpose or to solicit others to perform unlawful acts
- Violate any international, federal, provincial, or state regulations, rules, or laws
- Transmit any material that is abusive, offensive, profane, or otherwise objectionable
- Attempt to gain unauthorized access to our systems or other users' accounts
- Reverse engineer, decompile, or attempt to extract the source code of the Service
- Use automated means to access the Service except through our published APIs
- Interfere with or disrupt the Service or servers connected to the Service
- Upload or transmit malicious code, viruses, or any other harmful content
6. Data and Privacy
Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Service, you consent to our data practices as described in our Privacy Policy.
6.1 User Data
You retain ownership of all data you submit to our Service ("User Data"). You grant us a limited license to use User Data solely to provide the Service to you. We will not access, use, or disclose User Data except as necessary to provide the Service or as required by law.
6.2 Data Security
We implement appropriate technical and organizational measures to protect User Data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the internet is 100% secure.
7. Intellectual Property Rights
7.1 Our Rights
The Service and all content, features, and functionality thereof are owned by Orble Ltd and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
7.2 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your internal business purposes.
7.3 Restrictions
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Service except as permitted by these Terms.
8. Third-Party Integrations
Our Service integrates with third-party services including Slack, Jira, Notion, Google Docs, and others. Your use of these integrations is subject to the terms and conditions of those third-party services. We are not responsible for the actions or policies of these third parties.
9. Service Availability and Support
9.1 Service Level
While we strive to maintain high availability of our Service, we do not guarantee uninterrupted or error-free operation. We may temporarily suspend the Service for maintenance, updates, or other operational reasons.
9.2 Support
We provide email support at support@backontrack.bot. We aim to respond to support requests within 24 hours during business days (Monday through Friday, excluding UK holidays).
10. Termination
10.1 Termination by You
You may terminate your account at any time by contacting us at support@backontrack.bot or through your account settings. Upon termination, your right to use the Service will cease immediately.
10.2 Termination by Us
We may terminate or suspend your account and access to the Service immediately, without prior notice, for any breach of these Terms or for any other reason at our sole discretion.
10.3 Effect of Termination
Upon termination, we will cease providing the Service to you. You may request deletion of your data within 30 days of termination. After this period, we may delete your data in accordance with our data retention policies.
11. Disclaimers and Limitation of Liability
11.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
11.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ORBLE LTD BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.
11.3 Damage Cap
OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.
12. Indemnification
You agree to indemnify, defend, and hold harmless Orble Ltd and our officers, directors, employees, contractors, agents, licensors, and suppliers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your use of the Service or violation of these Terms.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions.
13.2 Dispute Resolution
Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the London Court of International Arbitration (LCIA), or if arbitration is not enforceable, through the courts of England and Wales.
14. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the use of the Service.
15.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
15.3 Waiver
Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
15.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
